CRO: enrollment lag & timeline breach
Classic dispute: site activation and enrollment miss milestones; sponsor withholds fees or claims liquidated damages; CRO blames inclusion criteria, competitive trials, or sponsor protocol amendments. Drafting cures: objective milestone definitions, dependency schedules (what sponsor must supply), cure periods, and fee holdback tied to measurable KPIs—not vague “best efforts.”
Data integrity, misconduct & CRO liability
When monitors miss fabricated vitals or source-document gaps, sponsors face regulatory exposure first and civil recovery second. Contracts should specify audit rights, forensic cooperation, step-in rights, and indemnity for wilful misconduct or gross negligence. Scientific background: trial data compliance.
CDMO: batch failure, destruction & supply continuity
- Failed batch: root cause (process, materials, equipment, specification), disposition, and who pays for API/drug product loss.
- Tech transfer incomplete when commercial launch dates are fixed—delay damages vs limitation clauses.
- IP and quality agreement alignment: who owns deviations, CAPA, and regulatory filing rights.
- Dual-source strategy clauses that CDMOs try to block via exclusivity.
Termination, wind-down & final invoices
Early termination for convenience vs for cause changes the money. Sponsors want data, samples, and TMF/transfer packages; vendors want payment for work performed and non-cancellable third-party costs. Require a wind-down SOW within a fixed number of days, escrow for critical data, and clear residual licence terms.
Dispute forum & evidence
Many China-facing CTAs and CDMO MSAs use CIETAC/BAC arbitration or litigated PRC courts. Preserve eTMF, EDMS audit trails, email/WeChat project channels, batch records, and change-control logs early. Without contemporaneous records, “he said / she said” destroys both damages and defence.
