A company’s business scope in China is stated in its articles of association, registered with the market regulator and shown on its business licence. It should accurately cover the company’s planned revenue-generating and operational activities. A registered expression does not replace a licence, filing or qualification required for a regulated activity.

Foreign-invested companies must also test the proposed activity against current market-access and foreign-investment restrictions. Before adding a product or service, map what the company will actually do, how regulators classify it, whether approval is required, and which related tax, customs, data or sector obligations follow.

Direct answer

Select the business scope by translating the operating model into the standardized activity descriptions used by the registration system. Separate general activities from activities that require approval or another licence. Put the approved scope into the articles, register it, and align the business licence, permits, tax setup, invoices, contracts and platform accounts.

If the business changes, do not assume that a broad commercial label or group-company licence covers the new activity. Check the official expression, any foreign-investment restriction and the applicable licensing sequence, then approve the change internally and complete registration and permit updates before operating where required.

What the business scope does

The Company Law provides that a company’s scope is set by its articles of association and may be changed by amending them. Activities that laws or administrative regulations require to be approved must receive that approval. Business scope is also a registered item disclosed through the enterprise-credit system and recorded on the business licence.

Scope therefore serves several functions. It describes the company to regulators and counterparties, connects the entity to licensing and supervision, and affects practical processes such as bank onboarding, invoicing, customs, tenders, leases and online-platform access.

It is not a complete statement of every legal power the company has. Nor does a matching line on the licence authorize conduct that requires a separate permit.

Start with the operating model

Prepare a plain-language activity map before choosing registration wording. Identify:

  1. products sold and whether the company manufactures, imports, exports or only distributes them;
  2. services performed, where they are delivered and who receives them;
  3. software, content, telecom, data or platform functions;
  4. facilities, equipment and regulated personnel required;
  5. agency, commission, licensing or franchise arrangements;
  6. expected invoice categories and revenue streams; and
  7. activities planned for later phases.

The map should distinguish what this Chinese legal entity will do from what its parent, affiliate, distributor or contractor will do. Group membership does not pool licences or business scopes.

Standardized registration expressions

Registration systems use standardized expressions rather than unlimited bespoke drafting. Select the closest accurate entries and confirm how the local registration authority applies the national catalogue. Avoid copying another company’s long scope without understanding its business, permits or history.

Overly narrow wording can force repeated amendments. Overly broad wording can create questions from banks, tax authorities, licensors, platforms and counterparties and may include activities the company is not prepared to regulate. The goal is a credible scope that covers the approved operating plan and foreseeable additions.

General and licensed activities

General activities can ordinarily be conducted after registration, subject to the laws governing the activity. Licensed activities require the applicable approval, permit or qualification. The timing differs: some matters require approval before registration, while others allow registration before the operating licence is obtained.

Do not begin a licensed activity merely because it appears on the business licence. Food, medical, education, finance, telecom, transport, hazardous materials, publishing and other regulated sectors can involve separate authorities, premises, personnel, systems and continuing conditions.

Create a licensing matrix showing the activity, authority, legal basis, application sequence, licence holder, validity period, renewal date and operational restrictions.

Foreign-investment and market-access review

A foreign-invested company should check both the general market-access rules and the current foreign-investment negative list. An activity may be prohibited, restricted to a joint venture, subject to an ownership cap, require specified senior personnel, or carry another condition.

The analysis should cover the real business model, not only the proposed wording. Contractual control, variable-interest structures, licensing arrangements and subcontracting do not safely remove a restriction merely because the registered entity uses a general description.

Where the model spans several sectors, obtain confirmation for each regulated component and document the conclusion used for formation or amendment.

Contracts outside the registered scope

A contract is not automatically invalid solely because it exceeds a party’s registered business scope. The Civil Code directs validity to be assessed under the applicable contract rules, while special restrictions on restricted or licensed activities still matter.

This does not make the mismatch harmless. Performance may be illegal or impossible without a permit; a regulator may intervene; representations may be inaccurate; and the mismatch may affect tender eligibility, payment, invoicing, platform access or remedies. Analyze contract validity separately from regulatory compliance and practical performance.

Do not state in a contract that the company holds an approval it does not possess. Use conditions precedent or a staged launch where a licence is still pending.

Changing the business scope

A scope change normally requires the corporate approval specified by law and the articles, an articles amendment, market-regulator filing and an updated business licence. A regulated addition may also require pre-approval or later permit action.

Before filing:

  • compare the current and proposed operating models;
  • identify the standardized new wording;
  • check foreign-investment and sector restrictions;
  • identify affected permits, bank records, tax and invoice settings;
  • review contracts, websites, apps and platform descriptions; and
  • confirm whether facilities or personnel meet licence conditions.

After filing, update dependent records and retain the resolutions, amended articles, application, licence and approvals in the corporate file.

Compliance and annual review

Compare actual activities with the registered scope at least annually and before a launch, acquisition or restructuring. Review revenue accounts, invoice descriptions, websites, customer contracts, app functions and regulatory licences. Investigate discrepancies rather than changing wording mechanically.

For a transaction, diligence should verify that the target’s material revenue lines fit its scope and approvals, that licences belong to the correct entity, and that no expiry, suspension or geographic restriction blocks the business plan.

Common mistakes

  • Copying a competitor’s scope without reviewing its licences or ownership structure.
  • Treating the business licence as the permit to conduct every listed activity.
  • Registering only a marketing slogan rather than the actual operating functions.
  • Ignoring foreign-investment restrictions because a domestic affiliate performs one step.
  • Assuming an affiliate’s permit covers the contracting company.
  • Declaring every out-of-scope contract void without applying the Civil Code.
  • Completing the registry amendment but not updating permits, tax, bank or platform records.
