Start with the legal route, not the list of services.

Hong Kong matters often combine national PRC rules with city-level implementation, specialist forums and local operating practice. This page helps you identify the workstream, institution and counsel role before you make contact.

01 · The market decoder

Read the national rule. See the local move.

Separate legal substance from Hong Kong execution so you can brief the right team.

01

Orient

National framework

Foreign investment, PIPL, tax, SAFE, customs and national-security rules set the outer frame.

02

Localise

Hong Kong operator

Hong Kong execution matters when governing law, listing, funds, financing or the dispute seat is common-law — even if the factory or WFOE sits in mainland China. Hong Kong is not mainland PRC law.

03

Decide

Decision record

Turn market facts into a practical brief: entity, forum, timing, documents and counsel roles.

When the city layer is relevant

When the local layer matters

Use the Hong Kong layer when the legal centre of gravity is a Hong Kong company, common-law contract, HK court or HKIAC seat. Do not treat Hong Kong as a mainland PRC city guide.

  1. Governing law / seat Does the contract choose Hong Kong law, Hong Kong courts or HKIAC (or another Hong Kong seat)?
  2. Holding / finance Is the holding company, listing vehicle, fund or financing document a Hong Kong instrument?
  3. Common-law dispute Will the dispute be heard in the Hong Kong courts or a Hong Kong arbitration seat?
  4. Mainland operations If operations sit in Guangdong, keep a separate PRC entity, employment and forum analysis — do not collapse them into Hong Kong law.

If none apply, start from the national China practice guide or the mainland city that owns the entity. If the seat is Hong Kong, continue on this page and the GBA desk.

03 · Practice pathways

What are you trying to do?

Choose the workstream first. Each pathway leads to a city practice guide or lawyer filter.

05 · How to hire

Build a better Hong Kong counsel brief

A short, structured brief helps a lawyer assess scope, conflicts, timing and likely team composition before engagement.

1

Identify the workstream

Corporate M&A is not employment or family law. Start with the legal issue and desired outcome.

2

Check language + experience

Confirm English capability and ask for relevant city, FDI or sector experience.

3

Verify licence + engagement

Confirm the lawyer and firm, conflicts process, engagement entity and written retainer.

4

Agree scope + fees

Clarify deliverables, assumptions, exclusions, staffing and fee model before work begins.

07 · Longer orientation

A longer view of the Hong Kong legal route.

Move from a commercial event to the legal questions that should be researched, documented and taken to counsel. A decision aid—not legal advice.

Choose your starting point

Follow the matter, not a generic checklist.

Route I · Invest

Set the commercial premise before the entity structure.

Investment planning starts with what the business will do in Hong Kong, where the activity sits, who will control it, and the documentary route needed to establish and fund the operation. The legal form should follow that commercial brief.

Briefing questions

01What activity, sector and operating footprint are proposed?

02Which entity, shareholder, capital and governance decisions need to be made?

03Which local implementation points affect the timetable and documentation?

Research discipline

Capture the commercial objective, proposed legal route, documents in hand, open assumptions and decision owner. A defined brief makes the first counsel conversation more useful.
