A China-connected trust must be classified before its legal effects are assumed. The PRC Trust Law recognises civil, commercial and public-welfare trusts, while a trust company conducting trust business is a regulated financial institution. An offshore family trust may be valid under its governing law yet still face separate questions for PRC assets, ownership registration, tax, foreign exchange, succession, matrimonial claims and enforcement.

Start with the people, purpose, property and control. Identify the settlor, trustee, beneficiaries, protector or other power holders, advisers and service providers; record the governing law, trust instrument, source and title of property, transfer steps, reserved powers, distribution terms, conflicts, reporting, tax residence, bank and custody arrangements, and every jurisdiction touched by the structure.

Classify the arrangement

Distinguish a civil trust created under the Trust Law, trust business conducted by a licensed PRC trust company, a charitable or other public-welfare trust, an asset-management product, a nominee or custody arrangement, and an offshore trust. Do not treat every arrangement described as a trust as having the same legal, regulatory or asset-separation consequences.

Form the trust validly

The Trust Law requires a lawful trust purpose, identifiable trust property lawfully owned by the settlor, and a written form such as a trust contract or will. The beneficiary or beneficiary class must be ascertainable. Review capacity, authority, purpose, form, conditions, duration, trustee powers, remuneration, termination and allocation of remaining property.

Transfer and register the property

A signed instrument alone may not complete the structure. Identify the transfer, delivery, account, registration, consent, approval, tax and foreign-exchange steps for cash, securities, company interests, real estate, intellectual property, insurance proceeds or other rights. Where trust registration is required for particular property, failure to complete it can affect the arrangement. Preserve title and valuation evidence.

Trust-property separation

Trust property is distinct from the trustee's own property, and property acquired through its management or disposal becomes trust property. But isolation depends on a valid trust, completed asset transfer, proper identification and administration, and the applicable creditor and insolvency rules. Avoid blanket claims that a trust makes assets unreachable in every dispute.

Settlor, trustee and beneficiary rights

The trustee must follow the trust document and act for the beneficiary's maximum interests with honesty, good faith, prudence and effective management. Control self-dealing, conflicts, delegation, related-party transactions, commingling and accounting. Define information, consent, removal, replacement, enforcement and distribution rights consistently with mandatory law.

Separate civil trusts from regulated trust business

A natural person or ordinary entity acting as trustee in a civil arrangement is not automatically authorised to operate a trust business. A PRC trust company is a licensed financial institution supervised by the National Financial Regulatory Administration. Marketing, pooling, investment management, remuneration and repeated services can change the regulatory analysis.

The 2026 Trust Company Measures

The revised Trust Company Administration Measures took effect on January 1, 2026. They reinforce the trustee role, beneficiary-interest orientation, trust-property separation and prudential governance, and frame trust-company business around asset service trusts, asset management trusts and charitable or public-welfare trusts. Product labels do not remove suitability, disclosure, investment, conflict and risk-management duties.

Wealth-management service trusts

Under the 2023 business-classification framework, wealth-management service trusts sit within asset service trusts and may include family, insurance-claim, testamentary, special-needs and other administration services. Asset service trusts do not provide principal or return guarantees and must not become unlawful financing channels or vehicles for evading asset-management rules.

Reserved powers and genuine administration

Map powers retained by the settlor and granted to protectors, committees, family members or advisers. Excessive retained control, sham implementation, side arrangements or inconsistent conduct can undermine the intended effects. The trustee should exercise real duties, document decisions, manage conflicts and maintain separate records and accounts.

Tax, reporting and source of wealth

Do not assume a trust is tax-neutral. Analyze the transfer into trust, holding period, investment income, distributions, termination and beneficiary receipts under the rules applicable to the parties and assets. Banks, trustees and tax authorities may require beneficial-owner, source-of-funds, tax-residence, CRS and anti-money-laundering information.

Offshore trusts with China connections

Review the foreign governing law and trustee regime separately from PRC consequences. Test whether PRC assets can be transferred or registered, how company and real-estate rights are exercised, whether cross-border payments have a lawful route, and how matrimonial property, succession, forced-heirship arguments, creditor claims and judgments may affect the structure.

Change, incapacity, disputes and termination

Plan for loss of capacity, death, trustee failure, beneficiary disputes, divorce, creditor action, sanctions, tax change and illiquid assets. Define replacement and emergency powers, governing law, forum, notices, information and termination mechanics. Preserve the trust instrument, amendments, wishes, accounts, resolutions, distributions and communications as an integrated evidence file.
