Shareholder and corporate disputes in China turn first on the company, claimant standing, challenged act and requested remedy. A direct shareholder injury, harm to the company, defective resolution, disputed equity transfer, unpaid contribution and company-control conflict require different parties, procedures and evidence.
Secure the articles, shareholder register, capital records, resolutions, notices, voting records, seals, licences, bank controls, accounting books, contracts and registry filings. Build a dated control map showing legal title, beneficial interests, board and management authority, document custody and actual access to systems and assets.
Subject to editorial and legal review. The revised Company Law took effect on July 1, 2024, with specific time-effect rules for earlier acts. Confirm the governing version, company type, articles and dispute dates before acting.
Classify the company and claimant
Confirm the registered company, unified social credit code, company type, registered shareholders, subscribed and paid capital, controllers, directors, managers, supervisors or audit committee, and any listed-company overlay. Determine whether the claimant sues for a personal right, on behalf of the company, under a contract, or in another capacity.
Challenge to shareholder or board resolutions
Separate a resolution alleged to be nonexistent, void or voidable. Examine convening authority, notice, quorum, agenda, voting rights, conflicts, minutes, signatures, articles and mandatory law. Calculate any statutory challenge period immediately. Relief against the resolution may not unwind transactions with protected good-faith third parties.
Shareholder information rights
Identify the specific corporate records requested, the statutory and articles-based entitlement, purpose, written demand and company response. The revised Company Law expanded and refined inspection rights, including conditions around accounting books and vouchers. Preserve refusal, delay, document location and confidentiality concerns; do not remove or access records unlawfully.
Capital contributions and accelerated payment
Reconcile subscriptions, due dates, valuation, payment proof, in-kind contributions, transfers, capital reductions and creditor claims. The 2024 regime includes a five-year contribution period for newly formed limited liability companies and transition arrangements for existing companies. Directors have verification and call duties, and statutory conditions may accelerate unmatured contributions.
Direct and derivative claims
A direct action addresses injury to a shareholder's own rights. A derivative action seeks recovery for harm to the company and ordinarily requires statutory standing and a written demand to the appropriate company organ, subject to an urgency exception. For a joint stock company, verify the required shareholding period and percentage. The revised law also addresses qualifying harm to wholly owned subsidiaries.
Directors, officers and controlling persons
Map each person's formal office and actual conduct. Claims may concern loyalty, diligence, conflicts, appropriation of opportunities, competition, unlawful distributions, capital defects, related transactions or instructions by a controlling shareholder or actual controller. The revised Company Law can impose duties on a controlling person who actually performs company affairs and can address joint liability where a controller directs misconduct.
Related-party transactions
Identify the relationship, disclosure, approval body, abstention, terms, valuation, performance and loss. Compliance with an internal approval or disclosure procedure does not by itself eliminate liability if the transaction unfairly harms the company. Consider claims against responsible insiders and, where legally available, the counterparty.
Equity ownership and transfers
Compare the transfer contract, payment, shareholder register, contribution certificate, registry record, consents, pre-emption process, pledge or freeze and actual exercise of rights. Contract effectiveness, shareholder status and registration can be distinct questions. Assess transferor and transferee responsibility for unpaid contributions under the current law.
Deadlock, oppression and exit
Document failed meetings, voting blocs, withheld information, diverted business, distributions, management paralysis and attempts to resolve the conflict. Potential paths include negotiated governance changes, equity transfer or purchase, distribution claims, resolution litigation, derivative proceedings or judicial dissolution where statutory conditions and serious operational difficulty are proved. Dissolution is exceptional, not a routine exit right.
Seals, licences, accounts and systems
Control disputes often focus on company chops, business licences, banking credentials, tax access, finance systems, servers and original records. Record custody and authority precisely. Consider evidence or conduct preservation and narrowly framed delivery claims where lawful. Do not seize, disable or use company property without authority.
Urgent relief and parallel processes
Assess property, evidence and conduct preservation, required security and risk of irreparable harm. Coordinate civil litigation with company registration, securities disclosure, arbitration, employment, criminal complaints, insolvency and enforcement. A registry filing or police report does not automatically determine the underlying corporate right.
Remedies and settlement
Match each claim to relief: confirmation, invalidation or revocation of a resolution; inspection; performance; damages; disgorgement; return of property; transfer registration; contribution payment; dissolution; or another statutory remedy. Settlement should address governance, transfers, price, security, taxes, releases, resignation, records, seals, filings and implementation deadlines.
