Securities civil litigation in China may involve false or misleading disclosure, material omissions, delayed disclosure, insider trading, market manipulation or other conduct causing investor loss. The first task is to identify the security, trading venue, challenged statement or conduct, investor transactions, alleged loss, responsible actors and the procedural route.
Preserve every disclosure and correction, regulator or exchange document, trading and position record, account-control evidence, market data, board and diligence file, investor communication and litigation notice. Claimants and defendants should calculate deadlines immediately. This guide provides national orientation and does not decide liability or recoverable loss in a particular case.

Classify the claim and procedural posture
Identify the cause of action, security and market, challenged disclosure or trading conduct, proposed claimants and defendants, and every relevant date. Separate an individual claim, joint action, ordinary representative proceeding and special representative proceeding. Also record exchange discipline, CSRC investigation or penalty, criminal process and prior civil cases, but do not assume that one proceeding automatically resolves the others.
Securities misrepresentation framework
The 2022 Supreme People's Court interpretation governs civil compensation for securities-market misrepresentation. A qualifying misrepresentation can include a false record, misleading statement, material omission or untimely disclosure. The interpretation removed the former requirement that a claimant first produce an administrative penalty or criminal judgment. Plead and prove the challenged conduct, materiality, transaction causation, loss causation, loss and defendant-specific responsibility.
Implementation, revelation and correction chronology
Build a source-supported chronology for the alleged implementation date, any continuing disclosure, public revelation or correction and the market response. These dates affect claimant screening, causation and loss analysis. Do not select dates solely because they maximize a model; test the content, audience, dissemination, credibility and price or volume reaction of each candidate event.
Eligible transactions and causation
Match each purchase, sale or holding to the alleged misrepresentation and relevant market period. The judicial framework addresses presumptions and rebuttal of transaction causation. Defendants may raise evidence that an investor knew of the misrepresentation, traded for reasons unrelated to it, or that the transaction fell outside the causal period. High-frequency, hedged, institutional and strategy-driven trading may require account-level and expert analysis.
Loss measurement and intervening risks
Reconcile quantities, prices, commissions, taxes, distributions, disposals and remaining positions. Separate loss caused by the challenged conduct from market-wide, industry, operational and other issuer-specific risks. Preserve the raw data and assumptions behind every model. Courts may use expert or specialist assistance; neither a simple price decline nor an administrative penalty establishes the recoverable amount by itself.
Potential defendants and responsibility
Depending on the claim, defendants may include the issuer, controlling shareholder, actual controller, directors, supervisors, senior managers, transaction counterparties and securities-service institutions. Liability standards and defenses are actor- and duty-specific. Build a matrix of each person's role, knowledge, conduct, signature, diligence obligation, fault evidence and asserted defense. Professional gatekeepers should preserve complete work files and contradictory or escalated information.
Representative proceedings
Article 95 of the Securities Law supports representative mechanisms where numerous investors bring claims arising from the same type of securities dispute. In an ordinary representative proceeding, eligible investors register within the court-announced period. A qualified investor-protection institution may, after receiving the statutory investor authorizations, act as representative in a special proceeding in which identified eligible investors are included unless they expressly opt out. Review the court notice, rights-registration scope, representative authority and consequences of participation, non-participation, settlement and judgment.
Jurisdiction, filing and limitation
Confirm the competent court under the current securities-dispute allocation and the connection between claims before filing. Calculate limitation from the governing Civil Code, Securities Law and judicial interpretation using the actual facts; do not treat an investigation announcement, penalty, correction or first lawsuit as a universal start date. Track service, jurisdiction objections, representative registration, evidence exchange, appeal and enforcement deadlines separately.
Evidence, preservation and expert work
Maintain authentic disclosure versions, timestamps, exchange feeds, trading exports and corporate records. Map custodians, systems and retention settings, issue lawful holds and preserve metadata. Consider court evidence preservation, property preservation and expert evidence where legally and strategically appropriate. Experts should disclose data, methodology, benchmark selection, event windows and sensitivity analysis.
Settlement, mediation and parallel exposure
Model settlement by claimant population, procedural stage, insurance, contribution, enforcement risk and approval requirements. Confirm who may bind represented investors and how notice, objection or opt-out rights operate. Coordinate civil strategy with disclosure duties and regulatory or criminal processes without destroying evidence, misleading the market or creating inconsistent factual positions.
