A China utility project is rarely governed by one contract alone. Electricity, water, gas, waste, heating and other municipal services sit within sector laws, local plans, approvals, pricing controls, safety duties and public-service obligations. A concession agreement allocates project rights and risks, but it does not replace licenses or let the parties contract out of mandatory regulation.
Start by identifying the actual service, assets, territory, users, revenue source and responsible government. Then determine whether the arrangement is a statutory infrastructure or public-utility concession, another procurement or operating model, or an ordinary commercial contract. That classification controls selection, bankability, supervision, change and exit.
Subject to editorial and legal review. Utility authority, market access, tariff rules and implementation vary by sector and locality. Confirm the current Chinese text, project approvals, local measures and concession documents before committing capital or changing service.
Classify the project and legal route
Map the infrastructure, construction and operating scope, public product or service, user base, payment mechanism, asset ownership and transfer arrangements. Under the 2024 concession measures, the regulated concession model is a user-pay form of government-and-social-capital cooperation selected through open competition. Commercial franchising and certain entrusted-operation models fall outside that definition.
Identify the competent authority
Record the implementing body, industry regulator, development-and-reform authority and local government approvals. Separate authority to organise the concession from electricity, water, gas, construction, land, planning, environmental, safety, fire and business licenses. Confirm whether the government body signing or supervising the project has the required power and internal approvals.
Test the implementation plan
Review project necessity, service standards, investment and construction scope, operating term, return mechanism, risk allocation, emergency arrangements, price adjustment, government commitments and handback. Stress-test demand, affordability, construction, connection, raw-material and energy costs, environmental obligations, force majeure, legal change and early termination.
Competitive selection and investor eligibility
Preserve the announcement, qualification criteria, tender or other competitive process, evaluation record, bid commitments and award. Check sector market-access limits, foreign-investment restrictions, consortium responsibility and required project-company structure. Avoid side arrangements that conflict with the disclosed process or alter core award terms without lawful authority.
Concession agreement and project contracts
Align the concession agreement with shareholder, finance, engineering, supply, offtake, connection, operation, insurance and land arrangements. Define performance metrics, reporting, inspection, tariff and revenue mechanics, maintenance, expansion, asset condition, change procedures, default, cure, step-in, compensation, dispute resolution and handback. Do not assume a contractual exclusivity clause overrides competition or sector rules.
Pricing, revenue and fiscal boundary
Determine whether charges are government-set, government-guided, market-based or governed by a sector formula, and identify the lawful adjustment and hearing procedures. Model collection risk, subsidies or viability support, taxes, indexation and extraordinary cost changes. The 2024 measures centre concessions on user payment and restrict disguised borrowing or unsupported government guarantees; bankability should not depend on an unenforceable fiscal promise.
Construction and financing
Confirm planning, land, EIA, energy, construction and other conditions before drawdown and works. Lenders should diligence concession validity, award compliance, project-company rights, account controls, security enforceability, insurance, termination compensation and any permitted step-in. Direct agreements must remain consistent with regulatory powers and public-service continuity.
Operating obligations
Build a compliance matrix for service coverage, quality, continuity, metering, billing, customer access, vulnerable users, complaint handling, cybersecurity, personal information, environmental controls, safety, maintenance and incident reporting. Water suppliers must apply the national Water Supply Regulation effective June 1, 2026; electricity and gas operations remain subject to their sector frameworks and local implementation.
Changes, expansion and renegotiation
Use the documented mechanism for tariff review, capacity expansion, service-area change, new standards, law change and emergency measures. Establish the factual and cost baseline before requesting relief. A material amendment may require fresh approvals or a new competitive process; confirm this before treating renegotiation as a purely bilateral matter.
Supervision, default and emergency continuity
Maintain auditable performance data and respond to lawful inspection and corrective orders. The agreement should distinguish ordinary breach, persistent underperformance, safety emergency, operator failure and government default. Continuity plans must protect users and critical facilities while preserving evidence, cure rights and the lawful allocation of emergency costs.
Expiry, early termination and handback
Prepare years before expiry. Catalogue assets, title, condition standards, permits, records, employees, systems, data, spare parts, environmental status and outstanding claims. For early termination, analyse legal basis, notice, cure, valuation, debt treatment, compensation, continuity and dispute route rather than assuming a formula will operate automatically.
