Private equity and venture capital work in China has two separate legal layers. The fund layer covers the manager, fundraising, qualified investors, registration, filing, custody, disclosure and conflicts. The portfolio layer covers the target company, investment instrument, sector access, diligence, governance, merger control, national-security review, tax, foreign exchange and exit.
Start by mapping the sponsor, manager, fund vehicle, investors, target and money flow. Preserve the offering and suitability file, fund and partnership agreements, AMAC records, term sheet, capitalization table, constitutional documents, licences, diligence materials, approvals, payment evidence and exit rights. Do not treat the label “PE/VC” as a legal structure.

Separate the fund from the investment
Determine whether capital is pooled and managed for investors so that the private-fund regime applies, or whether the investment is a direct proprietary transaction. Identify the manager or general partner, fundraising entity, fund form, custody arrangement, service providers, investors and beneficial owners. Then analyze the portfolio investment as a separate company, foreign-investment and regulatory transaction.
Manager registration and fund filing
The Private Investment Fund Regulation requires regulated managers to meet organizational, personnel, financial, control and conduct standards. AMAC registration is not government endorsement. After fundraising, a private fund generally must be filed within the applicable period with its fund contract, custody or asset-safeguarding arrangements, asset evidence and investor and beneficial-owner information. Material changes and ongoing reports require disciplined ownership.
Fundraising and investor suitability
Private funds must be offered non-publicly to qualified investors. Confirm investor qualification, look-through and aggregation rules, source of funds, risk identification and capacity, cooling-off or confirmation procedures where applicable, and lawful channel controls. Do not split interests to evade thresholds, market to unspecified persons, or promise principal protection or minimum returns.
Fund documents and governance
Align the partnership or company documents, fund contract and side letters on commitment, drawdown, investment period, term, fees, carried interest, key person, conflicts, related-party transactions, valuation, information, advisory committee, removal, default, transfer, extension, dissolution and dispute resolution. Test whether preferential side-letter rights create disclosure, fairness or operational problems.
Choose the portfolio structure
Map direct onshore equity, partnership interests, convertible instruments and offshore holding structures against commercial objectives and regulatory limits. Confirm capitalization, registered capital and contribution deadlines under the current Company Law. Contract rights must work with the articles, company organs and registration practice; an elaborate shareholder agreement is not enough if the corporate implementation is defective.
Foreign investment and sector gates
For foreign investors, check the negative list, industry licensing, information reporting, national-security review and foreign-exchange route before signing and funding. A variable-interest-entity structure is not a universal solution and may introduce enforceability, regulatory and exit risk. Outbound investors require a separate ODI and foreign-exchange analysis.
Diligence and investment conditions
Cover title, capital contributions, licences, tax, employment and social insurance, data and cybersecurity, intellectual property, material contracts, related-party transactions, litigation, sanctions, environmental matters and founder disputes. Convert findings into conditions precedent, covenants, indemnities, price adjustments, escrow, insurance or walk-away rights. Verify facts at closing rather than relying on stale reports.
Governance, control and merger review
Board seats, vetoes, reserved matters, information rights and shareholder arrangements can create control or joint control beyond percentage ownership. Analyze merger-control filing thresholds and gun-jumping risk early. Governance protections should preserve investment oversight without creating unintended operational liability or an unworkable approval matrix.
Valuation, conflicts and ongoing compliance
Managers should apply disclosed valuation methods, allocate opportunities and expenses fairly, control related-party transactions, maintain information barriers and report material events. Portfolio monitoring should track licences, financial covenants, capitalization, data, key personnel, follow-on financing and exit readiness. Keep investor reporting consistent with underlying records.
Exit and distress
Model trade sale, founder or company repurchase, transfer to another investor, IPO and liquidation at entry. Transfer restrictions, pre-emption, consent, regulatory filings, tax and foreign-exchange remittance affect execution. Redemption or fixed-return language may face company-law, capital-maintenance, enforceability or insolvency constraints. If distress emerges, preserve governance records and separate fund duties from creditor strategy.
