An incentive award is not just an employment promise. Identify the issuer, employing entity, participant status, instrument, governing plan and grant documents, approval chain, vesting and performance conditions, exercise mechanics, leaver treatment, liquidity path, tax withholding and any cross-border payment route before describing the employee’s entitlement.
Preserve signed documents, policy versions, payroll and contribution data, approvals, account statements, employee communications and a dated event ledger. Employment, social-security, corporate, securities, tax and foreign-exchange deadlines may run independently.

Classify issuer and instrument
Separate PRC-listed-company restricted shares or options, private-company equity or contractual appreciation rights, partnership interests, employee shareholding platforms and awards in an offshore parent. The company, securities, foreign-investment, foreign-exchange, tax and employment consequences differ.
Approvals and plan documents
Confirm board, shareholder, state-asset or securities approvals as applicable. Align the plan, grant notice, employment contract, articles, shareholder agreement and platform documents. State which document controls if terms conflict.
Vesting, performance and leaver terms
Define service and performance conditions, measurement and certification, suspension, exercise windows, bad-leaver and good-leaver treatment, repurchase price and treatment on termination, disability, death, change of control or restructuring. Avoid treating forfeiture as automatic where the documents or mandatory employment rules point elsewhere.
Listed-company controls
For PRC listed issuers, apply the CSRC equity-incentive regime, disclosure and trading restrictions, participant eligibility, pricing, lock-up and corporate procedures. Exchange rules and issuer status must be checked at the relevant date.
Offshore awards and foreign exchange
PRC-based participants in an overseas listed company plan generally require centralized handling through a domestic agent for foreign-exchange registration, accounts and fund flows. Offshore private-company or special-purpose-company incentives require a separate Circular 37 and ownership analysis; do not assume the listed-company procedure applies.
Disputes, tax and records
Preserve plan versions, approvals, grants, acceptance, performance evidence, cap-table records, account statements and termination correspondence. Determine whether the dispute is employment, contract, corporate or securities in nature before selecting arbitration or court. Obtain current tax advice for grant, vesting, exercise, sale and withholding.
