Infrastructure projects in China can combine public procurement, a concession or other government arrangement, a project company, regulated approvals, land rights, financing and a dense construction-contract chain. These layers must be tested separately: an award or concession does not itself grant land, construction, environmental or sector licenses, and a valid works contract does not prove that the public-law project route was correctly authorised.
Start with the asset, public service, revenue source, implementing authority, investor-selection record and current project stage. Build one obligations map across the concession, shareholder, finance, design, construction, supply, operation and offtake documents before allocating delay, change or termination risk.
Subject to editorial and legal review. Applicable procedures depend on sector, funding source, locality, procurement route and project history. Confirm current Chinese texts, approvals, tender documents and signed agreements before commitment or enforcement.
Classify the delivery model
Identify whether the project is a 2024-regime infrastructure or public-utility concession, a government-investment project, conventional public procurement, entrusted operation, or a commercial development. The concession model is user-pay cooperation selected through open competition and does not cover every arrangement commonly called PPP.
Authority and implementation plan
Verify the government authorisation, implementing body, planning basis, feasibility work, project approval or filing and concession implementation plan. Test construction and operating scope, public-service standards, investment, term, revenue, risk allocation, government commitments, emergency arrangements and handback before bidding.
Procurement and award integrity
Map which investor, survey, design, construction, supervision, equipment and service procurements require tendering or another competitive process. Preserve notices, qualification criteria, clarifications, evaluation, award and bid commitments. Side letters or post-award changes must not undermine mandatory competition or materially rewrite the disclosed bargain without authority.
Project company and governance
Align the successful investor’s commitments with project-company capital, shareholder funding, reserved matters, transfer restrictions, deadlock, default and exit. Confirm which obligations remain with the original bidder or consortium and whether the project company can lawfully hold permits, land, contracts and concession rights.
Land, planning and permit matrix
Track site and corridor rights, expropriation or resettlement interfaces, planning, environment, energy, water, construction, fire, safety and sector approvals. Record the party responsible, dependency, deadline and consequence for each. Early access or government assistance should not be mistaken for completed legal title or a construction permit.
Finance and bankability
Test the lawful revenue stream, tariff or user-payment mechanism, demand, capital structure, completion support and termination compensation. The 2024 measures prohibit disguised local-government borrowing and unsupported guarantees. Lenders should verify award validity, approval conditions, security, account controls, insurance, step-in arrangements and continuity after enforcement.
Design and construction allocation
Set a clear scope and interface matrix across surveys, design, enabling works, utilities, EPC, nominated suppliers and owner obligations. Allocate ground conditions, access, design development, price movement, law change, permits, grid or utility interfaces and third-party delay. Make notice, substantiation and decision procedures workable across all project documents.
Quality, safety and payment
Use licensed participants and mandatory standards, with inspection, testing and traceable materials. Maintain site-safety responsibilities and incident reporting without assuming contractual delegation eliminates statutory duties. Align progress measurement, invoices, retention, security, set-off and payment conditions with financing and statutory constraints.
Change, claims and records
Operate a controlled instruction and change process. Preserve baseline programmes, contemporaneous site records, cost evidence, design revisions, authority events and mitigation. Distinguish concession relief, employer variation, contractor claim, force majeure and change in law; they may have different notices and decision-makers.
Completion and operating transition
Define mechanical completion, testing, trial operation, statutory acceptance, commercial operation and service commencement separately. Coordinate permit close-out, as-built records, manuals, training, spares, warranties, asset registration and defect correction. Revenue or concession clocks should match the legally effective milestone.
Operations and public-service continuity
Translate service standards, maintenance, lifecycle investment, reporting, inspection, emergency response and customer duties into measurable obligations. Sector-specific utility regulation belongs in the public-utilities route; the project documents must nevertheless allocate its construction and operating consequences.
Default, termination and handback
Align cure, lender step-in, temporary government takeover, termination, compensation and dispute provisions. Prepare an asset-condition, title, permit, employee, data and environmental handback plan well before expiry. Do not assume that a contractual valuation formula overrides mandatory public-law or budget controls.
