Hotel and resort matters combine real estate, construction, operating permits, brand and management contracts, guest regulation and sometimes residential or membership sales. Identify who owns the land and building, who operates each service, the approved land and building use, and whether the customer buys real estate, a lease, membership points or only a contractual right to stay.

Preserve originals, authenticated registry results, dated communications and payment evidence. Build separate regulatory, contractual and dispute timelines because an administrative complaint does not necessarily preserve a civil deadline.

Property and development diligence

Verify land use, title, planning, construction, completion, mortgages and permitted hotel, tourism, commercial or residential use. Check whether separate units may lawfully be transferred or operated as accommodation.

Opening licences and operations

Build a premises-specific matrix for business registration, special-industry hotel permission, fire, public-place hygiene, food, alcohol, pool, entertainment and environmental requirements. Local rules control the sequence.

Hotel management and branding

Review term, territorial rights, owner approvals, operator standards, accounts, fees, procurement, employment, IP, performance tests, owner priority, lender rights, termination and transition. Align the management agreement with financing and property documents.

Branded residences and mixed use

Separate unit ownership from rental-pool participation, brand licence and hotel services. Disclose common-area, operating, return and exit assumptions and verify that the contemplated use is permitted.

Timeshare and membership risk

Analyse the actual product, payment custody, duration, inventory, exchange promises, cancellation, consumer disclosures and refund ability. Do not market a contractual holiday product as registered real-estate ownership.
