Key considerations
The first questions are about urgency, governance and preservation — before collection expands or interviews begin.
- Which facts show this is a consumer finance / online lending question?
- Which institution or process should be identified before assuming an outcome?
- What evidence should be gathered before contacting counsel?

What this page decides
02
An online-loan model must identify the legally responsible lender and separate that role from customer acquisition, technology, risk modelling, guarantee or insurance, payment, servicing and collection. Commercial-bank internet loans remain bank loans even when a platform supplies traffic or data; the bank must retain the core credit and risk responsibilities required by the internet-loan rules. The 2025 loan-facilitation notice reinforces head-office management, platform and enhancement-provider due diligence, matched rights and returns, risk pricing and consumer protection. Consumer-finance companies and microloan companies operate under different institution-specific regimes. A platform cannot avoid the lending perimeter merely by calling interest a service fee or by placing underwriting and collection functions in contracts with multiple affiliates.

Which fact changes the next route
Use the fact that changes ownership or urgency to decide the next move.
| Question | Why it matters | Next route |
|---|---|---|
| Who is the lender of record? | The institution advancing credit and bearing the legal loan relationship anchors the regulatory lane. | Verify the licence, contract, funding account and accounting treatment. |
| Who makes the credit decision? | Core underwriting cannot be obscured by a score supplied by an external platform. | Map data, model, approval authority and override rights. |
| Does a platform or guarantor absorb losses? | Risk sharing, guarantee, insurance and pricing can change prudential and conduct analysis. | Trace fees, reserves, first-loss terms and claims mechanics. |
| What does the borrower actually pay? | Interest, membership, service, guarantee and collection charges must be assessed together and disclosed appropriately. | Build an all-in borrower-cost schedule. |
| Who owns servicing, complaints and collections? | Outsourcing does not remove lender responsibility or permit abusive collection. | Review scripts, vendors, handoffs, recordings and complaint data. |

| Item | Why needed | Who holds it | Risk if missing |
|---|---|---|---|
| Licence and role matrix | Shows which entity may perform each function | Legal and compliance | Unlicensed lending or guarantee activity |
| Funding, guarantee and loss waterfall | Reveals economic risk and hidden first-loss support | Finance and risk | Contract labels do not match substance |
| Underwriting and model-governance record | Shows approval ownership and validation | Credit risk and data teams | Lender becomes a passive funding channel |
| Borrower cost and disclosure schedule | Reconciles every charge and repayment obligation | Product, finance and consumer protection | Fees obscure price or responsible entity |
| Servicing, collections and complaints evidence | Tests treatment after origination | Operations and vendor oversight | Outsourced misconduct or unresolved hardship |
Common failure points
Where files usually break
Treating a traffic platform's score as a substitute for the lender's own credit-risk responsibility.
Splitting interest into service, membership, guarantee or technology charges without assessing total borrower cost.
Using a guarantee or first-loss arrangement that makes rights, risk and compensation inconsistent.
Presenting the platform brand while obscuring the licensed lender and material loan terms.
Outsourcing collection without controlling scripts, contacts, complaints, data access and vendor incentives.
Monitoring only total portfolio performance and missing deterioration concentrated in one platform or product.
FAQ
Narrow follow-ups owned by this page
Can an internet platform approve loans for a partner bank?
A platform may provide data or services, but the bank must retain the credit and risk-management responsibilities required by the applicable internet-loan and facilitation rules.
Is a service fee outside lending regulation?
The name is not decisive. Review who charges it, what service is supplied, whether it forms part of borrower cost and how it is disclosed and collected.
Are online microloans governed by the commercial-bank rules?
Not as commercial-bank loans. Microloan companies are local financial organizations under their own supervisory framework, although overlapping consumer, AML, data and conduct duties may apply.
