Key considerations

The first questions are about urgency, governance and preservation — before collection expands or interviews begin.

  1. Scope — Formation and governance of general/limited partnerships, including partner rights and liability.
  2. Immediate task — Identify partner classes, intended business and whether foreign-investment restrictions apply.
  3. Boundary — If another practice owns a distinct issue, use Related topics below rather than duplicating that analysis here.

A China partnership enterprise is an unincorporated business organisation governed principally by the Partnership Enterprise Law, its partnership agreement and the current market-entity registration regime. Choose the form by liability and management, not by label. In an ordinary general partnership, general partners bear unlimited joint and several liability for partnership debts. A limited partnership must have at least one general partner; limited partners generally bear liability up to subscribed contributions and must not execute partnership affairs or represent the enterprise. Special general partnerships are reserved for professional-service organisations whose liability allocation follows the statute. Before filing, identify every partner, test legal eligibility, map the business against foreign-investment and sector-access rules, define contributions and authority, and model withdrawal, default, transfer, dissolution and creditor exposure. A business licence confirms registration; it does not override a prohibited investment, satisfy a pre-registration approval, or authorise licensed operations.

Who will be a general partner? At least one general partner is required, and that role carries management power and potentially unlimited joint and several liability.Identify the proposed general partner, its eligibility, assets, authority and risk controls.
Is any partner foreign?Foreign-investment access rules and information reporting overlay the partnership rules, and sectors with Chinese-control or equity requirements may exclude a foreign-invested partnership.Map direct and indirect foreign participation against the current national and applicable pilot-zone negative lists.
What will each partner contribute?Cash, property, intellectual property, land-use rights, other property rights and services are not interchangeable, and service contributions are restricted to general partners.Record form, value, valuation method, deadline and consequences of non-performance.
Who can bind the partnership?Internal limits do not necessarily protect the enterprise against a good-faith third party who deals with an authorised executive partner.Align the agreement, registered executive partner, delegated representative, chops, banking and contract controls.
How does a partner leave?Withdrawal, transfer, death, incapacity, expulsion and conversion can alter liability and continuity.Model the event, consent threshold, valuation, notice, registration and legacy-debt treatment before formation.

Scope

What this page owns — and what it does not

Covers ordinary general partnerships, limited partnerships, special general partnerships, partner eligibility, contributions, governance, authority, liability, admission, withdrawal, dissolution and registration.
Covers the additional access and registration questions when a foreign enterprise or individual participates, but not a transaction-specific national-security, merger-control, tax, foreign-exchange or fund-regulation opinion.
A partnership enterprise is not a company. Company-law concepts such as shareholders, registered capital, directors and limited liability should not be imported without checking the partnership statute and agreement.
Investment funds, law firms, accounting firms, medical providers and other regulated activities may be subject to separate organisational-form, qualification, filing, custody, fundraising or licensing rules.
This route does not decide partner status, liability, access, tax character, licence availability, validity of an agreement term or the result of a dispute on specific facts.

Common failure points

Where files usually break

  1. Choosing a limited partnership because it sounds flexible without identifying an eligible and creditworthy general partner.

  2. Calling every investor a limited partner while allowing those investors to execute partnership affairs or represent the enterprise.

  3. Assuming all partners have limited liability because the enterprise has a business licence.

  4. Using a nominee or thinly capitalised general partner without analysing guarantees, insurance, insolvency and substance.

  5. Copying company articles into a partnership agreement and leaving admission, withdrawal, expulsion and legacy liability unresolved.

  6. Promising services as a contribution from a limited partner, or failing to document valuation and delivery of non-cash assets.

  7. Relying on internal signing limits while giving uncontrolled chops, bank access or apparent authority to an executive partner.

  8. Treating a foreign-invested partnership as available in a sector whose access conditions require Chinese control or a specified equity structure.

  9. Citing the repealed Partnership Enterprise Registration Measures instead of the Market Entity Registration Regulation effective in 2022.

  10. Confusing registration with sector permission, fund-manager registration, professional qualification, tax treatment or foreign-exchange clearance.

  11. Failing to register reportable changes after a partner transfer, withdrawal, contribution change or executive-partner replacement.

  12. Distributing assets on exit before settling employee, tax, creditor and liquidation obligations.

FAQ

Narrow follow-ups owned by this page

What is the main difference between a general and limited partnership?

General partners execute partnership affairs and generally bear unlimited joint and several liability. A limited partnership combines at least one general partner with limited partners whose liability is generally capped by subscribed contributions, subject to the statute and their conduct.

Can a limited partner manage the partnership?

A limited partner must not execute partnership affairs or represent the limited partnership. The law identifies certain protective and oversight acts that are not treated as execution of affairs, but the proposed rights and actual conduct should be reviewed carefully.

Can a foreign investor form or join a partnership?

Foreign enterprises and individuals may use a foreign-invested partnership where the activity and participants satisfy the Foreign Investment Law, the specific partnership measures, the current negative list and sector rules. A sector requiring Chinese control or a specified equity structure may rule out the form.

Does a partnership need registered capital?

The partnership model centres on partner contributions agreed and registered under the applicable rules rather than company-law registered capital. The agreement must still define contributions, valuation and timing, and regulated activities may impose separate financial requirements.

Does registration protect a partner from old debts after withdrawal?

Not automatically. Statutory rules address liability for obligations arising before admission or withdrawal and require event-specific analysis, settlement and notice. The agreement cannot be treated as the only source of creditor-facing consequences.

Is a partnership automatically tax-transparent?

Do not assume tax treatment from foreign labels. China tax, accounting, withholding, partner residence, treaty and distribution issues require separate advice for the proposed partners and income.

  2. Document formation and authorityPrepare the partnership agreement, partner approvals, contribution evidence, delegated authority, registration materials and any foreign-investment analysis.
  3. Stress-test partner changesModel admission, withdrawal, transfer, default, deadlock, dissolution and creditor claims before filing the enterprise and committing capital.
