Flagship orientation

A legal corridor is not a checklist. It is a sequence of connected decisions.

Get the facts into view early, identify where China-side and Thailand advice intersect, then take the route that matches the commercial move—not a generic practice-area label.

03Coordination

Cross-border coordination

Make the handoff visible.

Host-country counsel does not replace China-side advice. The most consequential questions often sit where approvals, capital, governance, and enforcement cross jurisdictions.

China-side counsel
  • ODI, SAFE, and relevant China-side approvals
  • China-parent governance and authority
  • Mainland contracts and onshore implications
  • PRC enforcement or asset questions
Thailand counsel
  • Thailand entity, governance, and transaction documents
  • Employment, immigration, and local contracts
  • Thailand regulation and investment screening
  • Courts, arbitration, and host-country enforcement

Questions at the first call

Practical starting points.

Can a Chinese investor own 100% of a Thai company?

Sometimes, depending on the business activity, investment-promotion status, treaty or statutory route, and sector rules. Test each proposed activity under the Foreign Business Act and other applicable restrictions before choosing the ownership structure.

Does BOI promotion replace company and operating licences?

No. Promotion may provide incentives and facilitate specified matters, but the company must still complete the registrations, permits, tax, employment, environmental, factory, and other requirements applicable to its project.

When should a brand owner file Thai trademarks?

Usually before launch, distribution, licensing, or disclosure creates avoidable risk. Conduct clearance, identify the correct owner and goods or services, and coordinate Thai filings with the wider portfolio and commercial contracts.

Can one Bangkok lawyer cover investment and trademarks?

Do not assume so. Corporate, investment-promotion, regulatory, employment, IP, tax, and disputes may require different specialists and engagement scopes.
