Flagship orientation

A legal corridor is not a checklist. It is a sequence of connected decisions.

Get the facts into view early, identify where China-side and Cambodia advice intersect, then take the route that matches the commercial move—not a generic practice-area label.

Cross-border coordination

Make the handoff visible.

Host-country counsel does not replace China-side advice. The most consequential questions often sit where approvals, capital, governance, and enforcement cross jurisdictions.

China-side counsel
  • ODI, SAFE, and relevant China-side approvals
  • China-parent governance and authority
  • Mainland contracts and onshore implications
  • PRC enforcement or asset questions
Cambodia counsel
  • Cambodia entity, governance, and transaction documents
  • Employment, immigration, and local contracts
  • Cambodia regulation and investment screening
  • Courts, arbitration, and host-country enforcement

Questions at the first call

Practical starting points.

Can a Chinese investor establish a Cambodian company?

Generally yes, subject to the activity, structure, registrations, tax, beneficial ownership, sector licences, land and property constraints, workforce, investment-project requirements, and China-side approvals.

Can a foreign investor own land in Cambodia?

Foreign land ownership is restricted. A project may consider lawful leases, permitted co-owned-building interests, concessions, security arrangements, or other structures, but nominee or control arrangements can create serious validity and enforcement risks. Obtain Cambodian property advice before committing funds.

Does investment-project registration replace other permits?

No. Project registration or incentive status does not eliminate company, tax, land, construction, environment, customs, labour, sector, or local-authority requirements. Build a permit matrix for the actual project.

What should be checked before importing into Cambodia?

Confirm importer and tax status, classification, valuation, origin, licences or certificates, customs procedure, declarations, duties and taxes, transport and commercial documents, any project incentive, and record retention.
