Key considerations

The first questions are about urgency, governance and preservation — before collection expands or interviews begin.

  1. Scope — Loan agreements, guarantees, collateral and enforcement interfaces for commercial financing.
  2. Immediate task — Map borrower, lender, guarantor/security provider and collateral before testing validity/enforcement.
  3. Boundary — If another practice owns a distinct issue, use Related topics below rather than duplicating that analysis here.

A China security package must be tested asset by asset and obligor by obligor. A signed guarantee or security contract does not necessarily create an effective priority against third parties: corporate authority, asset eligibility, ownership, correct description, possession or registration, competing interests, guarantee type and claim deadlines all matter. Start with the secured obligations and parties, then map each guarantee, mortgage, pledge, receivables or account interest to its creation and publicity step. Keep the register, underlying contract and amendments aligned. Before enforcement, recheck default, acceleration, notice, limitation and guarantee periods, priority, preservation, bankruptcy and any foreign-exchange registration or remittance requirements.

What has priority?Earlier interests, purchase-money claims, statutory rights, seizure, retention and inaccurate registration can change recoveries.Search the relevant registry and investigate possession and litigation.
Is enforcement still available?Default wording, guarantee periods, limitation, notice, insolvency and preservation timing can be outcome-determinative.Build an enforcement calendar before sending demands.

Scope

What this page owns — and what it does not

Covers contractual guarantees, mortgages, pledges and common movable-property and rights security used in commercial financing.
Does not determine validity, priority, valuation, insolvency treatment or enforcement outcome for a specific asset or dispute.
Real estate, equity, intellectual property, receivables, accounts, inventory and equipment each require their own registry and asset analysis.
Independent guarantees, financial-market collateral, ship or aircraft security and consumer transactions may follow specialised regimes.

Common failure points

Where files usually break

  1. Treating a signed security contract as proof that a proprietary interest has been publicised or perfected.

  2. Accepting a group-company guarantee without checking corporate approvals, related-party status and creditor review duties.

  3. Using generic collateral descriptions that do not match the asset, registry fields or underlying evidence.

  4. Failing to search for prior registrations, judicial measures, retention, ownership disputes or other priority risks.

  5. Amending, refinancing or transferring debt without analysing continuing guarantee coverage and security registration.

  6. Allowing guarantee periods or limitation deadlines to run while relying on informal acknowledgements or negotiations.

  7. Assuming a cross-border guarantee can be performed and remitted without SAFE registration and foreign-exchange analysis.

FAQ

Narrow follow-ups owned by this page

Does signing a mortgage or pledge always create priority?

No. The asset and interest determine whether registration, possession, control, notice or another publicity step is required, and competing claims still need review.

Is every guarantee joint and several?

No. Wording and law distinguish general and joint-and-several guarantees, with different enforcement sequencing. Avoid relying on the document title alone.

Can one registration cover future advances?

A maximum-amount security structure may cover qualifying future claims, but the contract, registered maximum, claim-determination events and amendments must align.

Does a foreign guarantee require only contract-law analysis?

No. Cross-border guarantees can also involve SAFE classification, registration, performance, external debt or claim registration and remittance requirements.

Decision map

Keep the question bounded.

  1. Map the financing partiesIdentify borrower, lender, guarantor, security provider, beneficial owner and collateral, including any related-party or cross-border element.
  2. Audit creation and perfectionCollect facility and guarantee documents, corporate approvals, drawdown records, collateral registrations, valuations, notices and evidence of default.
  3. Choose the enforcement sequenceCheck validity, guarantee type, security priority, limitation periods, acceleration and preservation options before demanding payment or realizing collateral.
