Commercial franchise
A franchise is identified by the granted business resources, uniform operating model, continuing control and fees—not by calling the agreement a licence, distribution or consulting contract.
First job Confirm whether the arrangement is legally a franchise and identify franchisor eligibility/disclosure status.

Key considerations
The first questions are about urgency, governance and preservation — before collection expands or interviews begin.
- Are business resources and an operating model licensed for a fee?
- Does the franchisor satisfy the operating-experience requirement?
- When were disclosure, contract and first filing events completed?

What this page decides

China commercial-franchise rules can apply even when an agreement is titled trademark licence, distribution or business cooperation. The core question is whether an enterprise grants another operator business resources such as trademarks or operating know-how, requires a uniform business model and receives fees. Before franchising, the franchisor must satisfy the statutory operating-experience condition commonly described as two directly operated stores operated for more than one year. It must give the prospective franchisee the prescribed written information and contract text at least 30 days before signing, include the required franchisee cooling-off arrangement, and file after the first franchise contract with the competent commerce authority. Filing does not cure a false or late disclosure or defective commercial model.

Which fact changes the next route
Use the fact that changes ownership or urgency to decide the next move.
| Question | Why it matters | Next route |
|---|---|---|
| Does the arrangement function as a franchise? | Substance can trigger franchise duties despite a different contract title. | Map resources, control, operating system, duration and every direct or indirect fee. |
| Can the franchisor prove two stores and one year? | Operating experience is a statutory qualification, and ownership or affiliate arrangements need evidence. | Build a store-by-store ownership, operation and date record. |
| Was complete disclosure delivered at least 30 days before signing? | Timing, completeness, truthfulness and delivery proof affect regulatory and termination risk. | Freeze the disclosed version, attachments, contract draft and signed receipt. |
| Were filing and continuing updates completed? | The filing authority depends on territorial scope, and changes and annual contract information require maintenance. | Verify the public filing record, first-contract date, scope, changes and annual submissions. |

What to gather before the next call
These items help clarify the file; they are not a legal requirement list.
| Item | Why needed | Who holds it | Risk if missing |
|---|---|---|---|
| Business-resource ownership and licence chain | Shows the franchisor can grant the promised system | Franchisor and IP owner | Franchisees receive unstable or narrower rights |
| Two-store/one-year evidence | Supports statutory operating qualification | Franchisor and relevant affiliates | Ineligible franchising and enforcement exposure |
| Disclosure package, contract draft and receipt | Proves content and 30-day timing | Franchisor and prospective franchisee | Rescission, damages or administrative complaint |
| Franchise filing and update record | Shows correct authority, timing and current public information | Franchisor compliance | Late, missing or stale filing |
| Manuals, supply, quality and network records | Connect contract promises to actual network governance | Operations, procurement and quality | Inconsistent control, claims or unit economics |
Common failure points
Where files usually break
Renaming a franchise as licence or distribution without changing its substance.
Counting stores without proving direct operation and the required operating period.
Signing, taking non-refundable money or locking key terms before the 30-day disclosure period is complete.
Treating a filing receipt as proof that disclosure was true and complete.
Using generic manuals and supply restrictions that conflict with the contract or applicable product and competition rules.
Ignoring change and annual reporting after the initial franchise filing.
Decision map
Keep the question bounded.
- Classify the modelTest trademarks and other resources, uniform model, operating guidance or control, continuing relationship and direct or indirect fees.
- Prove eligibility and disclosureVerify franchisor status, two directly operated stores for more than one year, resource rights and complete written disclosure at least 30 days before contract.
- Control filing and networkComplete the correct commerce-authority filing, annual and change records, then align contract, manuals, supply, fees, data, quality, exit and post-term IP use.
