WFOE Profit Repatriation: Tax, Treaty and Bank Pack

A WFOE dividend is a company-law distribution, a withholding-tax file and a bank foreign-exchange review. Audit, loss makeup, reserve, resolution, treaty support, tax evidence and the remittance pack must tell one story.

Workflow principle

Compute the lawful dividend before promising the tax rate or remittance date.

Finish the statutory accounts and tax work, account for prior losses and the statutory reserve, approve the distribution under the corporate documents, substantiate any treaty position, complete withholding and give the bank a consistent documentary pack.

Dividend sequence

Move from audited profit to the parent’s account.

Treaty entitlement and bank requirements depend on the actual shareholder and current documents.

Time on site

Fix the fiscal year, audited after-tax profit and any unresolved tax adjustments before calculating a distribution.

Characterisation line

Do not relabel a dividend as a management fee or royalty without real services, pricing and documentation. A false label can create transfer-pricing, VAT, withholding and credibility exposure.

Frequently asked questions

Common dividend and remittance questions.

Rates and treaty outcomes require current tax advice.

What withholding rate applies to a WFOE dividend?

Start with the current domestic non-resident dividend rule and model treaty relief only where the applicable treaty, ownership and beneficial-owner facts support it.

Does an intermediate Hong Kong or Singapore company automatically receive a lower rate?

No. Ownership thresholds, treaty terms, beneficial ownership and substance must be supported.

Does paying withholding tax guarantee remittance?

No. The bank separately reviews corporate authority, distributable profit and foreign-exchange documentation.

Can management fees replace dividends?

Only genuine services with supportable pricing and documentation should be charged. Relabelling profit distributions creates additional tax risk.
