Property tax · 07 Editorial guide
Real-estate taxes & deed tax
There is no single China property-transfer tax percentage. Acquisition, construction, holding, leasing, sale, contribution, gift, inheritance and restructuring can assign different taxes to different parties. Start with the property, legal event, taxpayer, consideration and locality, then build the filing sequence around title registration and payment evidence.
First job Identify asset, transaction, taxpayer and locality before calculating or filing.

Key considerations
The first questions are about urgency, governance and preservation — before collection expands or interviews begin.
- What land-use right, building, unit or development interest is moving or generating income, and where is it located?
- Is the event a sale, grant, lease, exchange, contribution, debt settlement, allocation, gift, inheritance, merger or other restructuring?
- Which party is the transferee, transferor, lessor, developer or individual, and what price, valuation, invoice and historical cost evidence exists?

What this page decides
02
Under the Deed Tax Law, the entity or individual receiving land or building rights is generally the deed-tax taxpayer for covered transfers. The statutory rate range is 3% to 5%, but the applicable rate and housing distinctions are determined locally, and the tax base differs for sales, exchanges, gifts and other no-price transfers. Deed tax is only one line in the file. Since 1 January 2026, the VAT Law treats domestic sales or leases of immovable property and transfers of natural-resource use rights as taxable transactions where the property or resource is in China, subject to the law, implementing rules and applicable relief. A disposal may also require land appreciation tax and income-tax analysis; holding or leasing may raise property tax, urban land-use tax and other local items. Calculate only after the legal event, taxpayer, tax-exclusive or tax-inclusive price, deductible cost, locality and relief conditions are evidenced.

Which fact changes the next route
Use the fact that changes ownership or urgency to decide the next move.
| Question | Why it matters | Next route |
|---|---|---|
| What legally transfers? | A land grant, land-use-right transfer, building sale, share deal, contribution, gift, exchange and inheritance do not share one tax treatment. | Map legal title, contract substance, consideration and registration event before using a rate. |
| Who bears each statutory tax? | Contractual tax-allocation wording does not automatically change the taxpayer identified by tax law. | Prepare a tax-by-tax matrix naming statutory taxpayer, economic bearer, filing party and evidence owner. |
| What is the defensible tax base? | Transaction price, tax-exclusive amount, exchange difference, market-assessed value, historical cost and statutory deductions serve different taxes. | Reconcile contract, VAT invoice, appraisal, payment, acquisition and development-cost records. |
| Which local rule and closing sequence applies? | Deed-tax rates, housing relief, property-tax practice and filing or registration coordination can vary by locality and taxpayer facts. | Confirm the current provincial and local implementation with the competent tax and registration authorities before closing. |

What to gather before the next call
These items help clarify the file; they are not a legal requirement list.
| Item | Why needed | Who holds it | Risk if missing |
|---|---|---|---|
| Title, land and property-use file | Identifies the legal interest, location, use and registration history | Owner, registry, developer and transaction team | Tax is calculated for the wrong asset or event |
| Transaction and consideration pack | Establishes form, price, non-cash value, party roles and key dates | Buyer, seller and advisers | Tax base and taxpayer assumptions diverge from the documents |
| VAT invoice and payment reconciliation | Separates tax-inclusive amounts and ties declared consideration to cash and invoicing | Finance and tax teams | Deed-tax and VAT bases are inconsistently reported |
| Cost, valuation and deduction evidence | Supports land appreciation tax, income calculations and authority valuation review | Owner, developer, finance and appraiser | Historical cost or deductions are denied |
| Relief, filing and registration evidence | Proves eligibility, timely filing, payment or refund and title-transfer completion | Taxpayer, tax bureau and registry | Relief fails or registration is delayed |
Common failure points
Where files usually break
Quoting one all-in transfer-tax percentage without identifying event, taxpayer and locality.
Assuming the contract can replace the statutory allocation of tax liability.
Using the gross contract price for every tax without reconciling VAT and the relevant tax-base rule.
Treating a contribution, debt settlement, allocation, gift, inheritance or share transaction as an ordinary property sale.
Claiming a housing or restructuring relief without preserving every eligibility fact and required filing.
Losing historic acquisition, development, invoice and payment records needed for land appreciation or income-tax deductions.
Leaving local tax filing and property registration sequencing until the scheduled closing date.
Decision map
Keep the question bounded.
- Classify asset and legal eventConfirm the property, land and building status, parties, transaction form, use, consideration, related-party position, dates and registration steps.
- Allocate each tax to its taxpayerSeparate deed tax from VAT, land appreciation tax, corporate or individual income tax, property tax, urban land-use tax, stamp tax and local surcharges.
- Reconcile calculation and closingTie contracts, invoices, valuation, deductible cost and exemption evidence to the local tax filing, payment, refund and title-registration sequence.
