Matter routing

Design the company before submitting the registration

Company registration is the legal implementation of a business structure, not the structure itself. Before filing, counsel should align the investor and beneficial-ownership picture, permitted activity and licences, company type, registered capital and contribution timetable, governance and control, officers, address, name, tax and employment setup, foreign-investment status, and post-registration obligations. A registration that is fast but inconsistent with the real business can create capital, authority, licensing, banking, tax, and enforcement problems.

Questions that change the route

Who will own, fund, and control the company?
Map direct and ultimate owners, citizenship or place of establishment, related parties, nominee or trust concerns, source and form of contributions, voting, board or executive director, legal representative, manager, supervisor or audit committee, financial authority, seals, and reserved matters.
What will the company actually do?
Test the proposed business scope, industry restrictions and foreign-investment negative list, prior approvals, sector licences, location and premises, online activity, import and export, data handling, regulated products, staffing, and whether a branch or another entity form fits better.
Can the capital and launch plan be performed?
Set a defensible registered-capital amount, contribution form and valuation, five-year or other applicable payment timetable, foreign-exchange and bank path, equipment or IP transfer, lease, tax registrations, employment and social insurance, licence sequencing, disclosure, and ongoing filing ownership.

Evidence to organize first

  • Investor, controller and beneficial-owner chart with passports, certificates, constitutional documents, resolutions, authorization, legalization or apostille, and translations
  • Business model, activity and revenue map, proposed scope, negative-list and licence analysis, name choices, registered address, lease and premises evidence
  • Articles, governance matrix, capital and contribution schedule, valuation and transfer documents, officer consents, filing pack, seals and bank controls, tax and post-registration checklist

Consultation preparation

What to send before speaking with counsel

A focused first message helps a lawyer assess fit, urgency, conflicts, and likely next steps. Prepare:

  • a short summary of the issue and the outcome you want;
  • a dated timeline, including any filing, hearing, termination, or response deadline;
  • the key contract, notice, correspondence, registration, or decision documents;
  • the names and locations of the parties so the lawyer can check conflicts and jurisdiction; and
  • your preferred working language and whether you need an initial budget or fee estimate.

For this directory, also prepare:

  • ownership chart and the proposed investors or joint-venture partners;
  • proposed business scope, target city, and intended operating activities;
  • investment source, expected capitalization, and launch timetable; and
  • any draft term sheet, lease, incentive proposal, or negative-list analysis.

Do not send originals or unnecessary sensitive data before engagement terms and a secure document channel are confirmed.
