Illustrative liquidation sequence

  1. Decision & authority — shareholder resolution; appoint liquidation group / responsible persons; legal rep coordination.
  2. Freeze scope — stop new sales if needed; inventory assets; secure chops, licences, bank tokens, data.
  3. Notify & claims — creditor notification steps as required; collect claims; dispute strategy for contested debts.

How long does WFOE liquidation take?
Often many months; tax clearance is the usual critical path. Simple dormants can be faster; manufacturing with customs history slower.

Can we keep the company dormant instead?
Dormancy still needs compliance (nil filings, address, legal rep). It is not free zero-risk storage.

What if the legal representative left China?
Expect extra steps to change officers or use authorised processes—start early.
